1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "you") and RAMSIO CLOUDSERVE INFOTECH PRIVATE LIMITED ("NexaSocial," "we," "our," or "us"), a company incorporated in India under the Companies Act, 2013 (CIN: U62091KA2025PTC210162), with its registered office at #36, WeWork Prestige Central, Infantry Road, MG Road, Bengaluru, Karnataka 560001, India. By accessing or using this website or any associated services (collectively, the "Service"), you agree to be bound by these Terms.

If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree, you must not access or use the Service.

2. Description of Service

Today, pre-launch: this website lets you join a free waitlist, make a one-time purchase (Lifetime Deal or a Supporter Program contribution), or lock in the Founding Member rate, via Razorpay. There is no login, dashboard, or account area on this site.

At launch: NexaSocial will provide an AI-powered social media management platform that enables users to schedule content, generate AI-assisted text and media, manage multiple social media accounts (including Instagram, LinkedIn, TikTok, YouTube), receive WhatsApp-based approval workflows, and analyze performance metrics. A Lifetime Deal, Founding Member, or Supporter Program purchase made today secures your priority access and pricing for that platform — the specific perks for each are described where you purchased them.

Once live, NexaSocial acts as a tool to assist you in managing your social media presence. The accuracy, performance, and reach of content published through NexaSocial will be subject to the algorithms and policies of individual social media platforms, which are outside our control.

3. Account Registration

This site does not require or offer an account today. When the full platform launches, you will create an account (using the email address associated with your waitlist entry or purchase) to access it. At that point, you will be responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, and must notify us immediately at [email protected] if you suspect any unauthorized use.

4. Purchases, Subscriptions, and Billing

4.1 Today (pre-launch)

One-time purchases are available for the Lifetime Deal and — where enabled — the Supporter Program. Founding Member is a recurring-rate lock, currently available via Razorpay only: it is charged per billing period rather than as a true one-time purchase, and you renew it manually — we send a reminder email 7 days before it lapses. Founding Member via Stripe, which will auto-renew, is not yet enabled. All fees are non-refundable except as expressly required by applicable law. 4.2 At launch

NexaSocial will offer Starter, Pro, and Enterprise subscription tiers, billed in advance on a monthly or annual basis. Features available to you will depend on your active subscription tier. We reserve the right to modify, add, or remove features from any tier with 30 days' notice. If we offer a free trial at that time, you will not be charged until the trial period expires, and you may cancel before the trial ends to avoid charges.

5. Connected Social Media Accounts (platform feature, not yet live)

This section describes a feature of the full NexaSocial platform, not this pre-launch site. Once available, by connecting a social media account (Instagram, LinkedIn, TikTok, YouTube, or others) to NexaSocial, you will:

• Grant NexaSocial the permissions necessary to perform the actions you authorize (e.g., scheduling posts, reading analytics)
• Represent that you own or have the right to manage the connected accounts
• Accept that your use of connected accounts is also governed by the respective platform's terms of service and community guidelines
• Agree to use the Service in a manner consistent with each platform's developer and usage policies

You will be able to disconnect any social account at any time through NexaSocial's account settings, and we will cease accessing that account immediately upon disconnection.

6. User Content and Ownership

You retain full ownership of all content you create, upload, or publish through the Service ("User Content"). Once the platform's content and AI tools are live, this includes posts, images, videos, captions, and strategy assets generated using those tools on your behalf.

By using the Service, you grant NexaSocial a limited, non-exclusive, royalty-free license to process, transmit, and store your User Content solely for the purpose of operating and providing the Service to you. This license terminates when you delete the content or, once accounts exist, close your account.

You are solely responsible for ensuring your User Content does not violate any applicable laws, third-party rights, or platform policies. NexaSocial is not liable for any User Content published through the Service.

7. Acceptable Use Policy

You agree not to use the Service to:

• Publish spam, misleading content, or content that violates any platform's community guidelines
• Scrape, harvest, or extract data from social platforms in violation of their terms
• Impersonate any person, company, or entity
• Distribute malware, viruses, or harmful code
• Circumvent rate limits, authentication systems, or security controls
• Once AI content generation is live, use it to produce hate speech, illegal content, or content that infringes intellectual property rights
• Resell or sublicense the Service without written authorization from NexaSocial
• Engage in any activity that disrupts the Service or the experience of other users

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your access without refund.

8. AI-Generated Content Disclaimer (platform feature, not yet live)

Once live, NexaSocial will use artificial intelligence to assist in generating content, strategy recommendations, and media assets. AI-generated outputs will be provided "as-is" and may not always be accurate, appropriate, or reflect current events.

You will be responsible for reviewing all AI-generated content before publishing. NexaSocial will not be liable for the consequences of publishing AI-generated content, including but not limited to platform policy violations, factual inaccuracies, or public perception issues. A WhatsApp-based approval workflow is planned to give you human review control before any content goes live.

9. Service Availability

We aim to keep this website available and, once the full platform launches, will target 99.5% monthly uptime for it. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by force majeure events or circumstances outside our reasonable control.

10. Intellectual Property

The NexaSocial platform, including its software, algorithms, design, trademarks, and branding, is and remains the exclusive intellectual property of RAMSIO CLOUDSERVE INFOTECH PRIVATE LIMITED. Nothing in these Terms grants you any license to our intellectual property except the limited right to use the Service as described herein.

11. Confidentiality

Each party may receive confidential information from the other ("Confidential Information"). Each party agrees not to disclose the other's Confidential Information to third parties and to use it only for purposes of performing obligations under these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXASOCIAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF NEXASOCIAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO NEXASOCIAL IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NEXASOCIAL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

14. Indemnification

You agree to indemnify, defend, and hold harmless RAMSIO CLOUDSERVE INFOTECH PRIVATE LIMITED, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any third-party rights.

15. Termination

Either party may terminate the agreement at any time. Once subscriptions exist, you may cancel from your account settings; your access will continue until the end of the paid billing period. Lifetime Deal and Supporter Program purchases are one-time — there is no recurring charge to cancel. Founding Member is a per-period rate you renew manually when purchased via Razorpay (no auto-charge to cancel either), or auto-renews via Stripe once that path is enabled (cancellable through Stripe's standard subscription-cancellation flow at that time).

NexaSocial may suspend or terminate your access immediately for material violations of these Terms, including violations of the Acceptable Use Policy or fraudulent activity — and, once subscriptions exist, non-payment. Upon termination, your right to access the Service ceases immediately. Your data will be retained for 30 days after termination before permanent deletion, unless we are required by law to retain it longer (see our Privacy Policy).

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.

If a dispute is not resolved by negotiation within 30 days, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (India), as amended. The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement, or failing agreement, by the appropriate authority under the Act. The seat and venue of arbitration shall be Bengaluru, Karnataka, India. The proceedings shall be conducted in English.

Notwithstanding the above, either party may seek urgent interim or injunctive relief from a court of competent jurisdiction to prevent unauthorised use of intellectual property or to preserve confidential information.

India consumer rights: Nothing in these Terms limits or excludes rights you may have under the Consumer Protection Act, 2019 (India), the Digital Personal Data Protection Act, 2023, or any other mandatory applicable Indian law. If any provision of these Terms conflicts with your statutory rights under Indian law, the statutory rights shall prevail to the extent of such conflict.

16A. Data Protection Rights

Your personal data rights — including the rights granted to you under the Digital Personal Data Protection Act, 2023 (India), the EU General Data Protection Regulation (GDPR), and the California Consumer Privacy Act (CCPA) — are governed exclusively by our Privacy Policy and cannot be restricted or waived by these Terms.

17. Changes to Terms

We reserve the right to modify these Terms at any time — including as new sections take effect when the full platform launches. Material changes will be communicated via email to your registered address and through a prominent notice on this site at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

18. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NexaSocial regarding the Service. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
